Our Services involve providing business valuation reports based on information you submit through our online data input form. The report comprises three parts:

• Part I: Business Valuation
  Includes valuation results, methodology, assumptions, and limitations.

• Part II: Benchmarking
  Provides 16 key financial and operational metrics comparing your business to industry competitors in your region, utilizing data from reputable third-party providers, government sources, and our proprietary database.

• Part III: Red Flags
  Evaluates five key areas—financial performance, operational efficiency, management independence, market positioning, and risk management—to identify red flags.

• Part IV: Tariff Impact
  Measures the effect of recent U.S. tariff changes on your operational costs and margin structure. Includes a cost change breakdown across materials, operations, equipment, and fixtures; a Tariff Exposure Risk Score benchmarking your supply chain against peers; and a scenario analysis showing how different levels of tariff cost absorption impact sales volume and gross margin.

The Gold Report includes the full access to Part I and limited access to Part II, Part III, and Part IV. Gaining full access to the report (Platinum Report) requires payment as detailed on our Pricing page. Upon payment, the complete report will be sent to your provided email in PDF format.

3. User Obligations

You agree to:

• Provide Accurate Information:
  Submit truthful and accurate information to the best of your knowledge. The quality and usefulness of the valuation report depend entirely on the accuracy of the data you provide.

• Use the Report for Personal Reference Only:
  Acknowledge that the valuation report is strictly for self-reference purposes and not intended for use in legal, financial, or investment decision-making.

• Maintain Confidentiality:
  Protect and not disclose the contents of the valuation report to unauthorized third parties.

4. Limitations and Disclaimers

• Not a Certified Valuation Report:
  This report is not a certified valuation and should not be relied upon for legal, regulatory, or formal financial reporting purposes. It is intended solely for informational and internal use by business owners.

• Information Verification:
  The valuation analysis is based entirely on the information and representations provided by you, as well as market and industry data obtained from reputable third-party providers and publicly available databases. While we trust the reliability of these sources, we have not independently verified the accuracy or completeness of the information provided, nor have we performed an audit, financial review, or verification of financial statements or business documents. Consequently, we do not assume any responsibility or liability for potential inaccuracies or omissions contained within the supplied information.

• Valuation Estimates:
  Our valuation approach utilizes a robust, data-driven methodology designed to provide a professional estimate of your business's value. However, actual transaction outcomes may vary significantly due to factors including but not limited to prevailing market conditions, negotiation dynamics, buyer-specific preferences, and unforeseen circumstances. Thus, the valuation presented should be viewed as an estimate and not as a definitive guarantee of the actual sale price. Additionally, this valuation reflects economic and market conditions as of the specified valuation date, and we assume no obligation to update or revise our conclusions based on subsequent developments or changes.

• Operational Continuity Assumption:
  This analysis presupposes normal operational continuity and excludes consideration of extraordinary events, such as regulatory interventions or natural disasters, which could substantially affect valuation results. Users must clearly understand these assumptions and limitations and apply professional judgment in interpreting the results.

5. Intellectual Property

The valuation methodology and all processes used to generate all sections of the report are our proprietary intellectual property, protected by the United States Patent and Trademark Office (USPTO). You agree not to reproduce, distribute, or create derivative works based on our intellectual property without our express written consent.

6. Limitation of Liability

To the fullest extent permitted by law, Ownercore Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Services;

• Any unauthorized access to or use of our servers and/or any personal information stored therein;

• Reliance upon or misuse of any information contained in the valuation report.

7. Indemnification

You agree to indemnify, defend, and hold harmless Ownercore Inc., its officers, directors, employees, agents, licensors, and affiliates from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorney's fees) arising out of or relating to your violation of these Terms or your use of the Services.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-law principles. You agree that any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
